Welcome to Sofrena. These Terms of Use ("Terms") govern your access to and use of sofrena.com and any related pages, content, newsletters, surveys, live or virtual programs, and events we offer (collectively, the "Services"). The Services are operated by Sofrena ("Sofrena," "we," "us," or "our").
By accessing or using the Services, you agree to these Terms. If you do not agree, please do not use the Services.
1. Sofrena Is Educational — Not Medical Advice
Sofrena exists to educate, inform, and connect. Nothing on the Services — including content from clinicians, expert sessions, forums, newsletters, blog posts, or events — is medical advice, diagnosis, or treatment. No physician-patient, provider-patient, or other clinical relationship is created by your use of the Services, including participation in "Ask the Experts" sessions, monthly forums, the Four Conversations series, or in-person gatherings. Information presented through the Services is general in nature and may not apply to your individual circumstances. Always consult your own qualified healthcare provider before making decisions about your health, medications, hormone therapy, or treatment. Never disregard or delay seeking professional medical advice because of something you read or heard through Sofrena. If you believe you are experiencing a medical emergency, call 911 (or your local emergency number) immediately.
2. Eligibility
The Services are intended for adults. You must be at least 18 years of age to use the Services, join our mailing list, complete our surveys, purchase memberships or tickets, or attend our events.
3. Memberships, Tickets, and Payments
Certain programs — including the Four Conversations series and in-person gatherings — require a paid membership or ticket. Prices will be displayed at the time of purchase, in U.S. dollars unless stated otherwise. Payments are processed by third-party payment processors; we do not store your full payment card information.
Refunds: tickets and memberships are fully refundable until thirty (30) days before the applicable event or program start date. Within thirty (30) days of the event, tickets are not refundable but may be transferred to another attendee by contacting us at [email protected] before the event. If Sofrena cancels a paid program or event, registered participants will receive a full refund. Event dates, venues, speakers, and formats may change; a change of speaker or schedule is not a cancellation.
4. Event Participation
By attending a Sofrena in-person or virtual event, you additionally agree that:
Community standards. Sofrena gatherings are spaces of respect and candor. We may decline entry to, or remove without refund, any attendee who harasses, demeans, records without consent, solicits, or markets products or services to other attendees.
No solicitation. Attendees, sponsors, and speakers may not use the Services or events to sell or promote supplements, treatments, or other products to participants except as expressly authorized by Sofrena in writing.
Assumption of risk. Attendance at in-person events is voluntary, and you assume the ordinary risks of attending an in-person gathering.
Photography and recording. Portions of events — such as speaker presentations — may be photographed or recorded by Sofrena for archival and promotional use; attendees who prefer not to appear in photographs may notify us at check-in. Attendee discussions are not recorded, and attendees may not record other participants.
Privacy of other participants. What is shared in the room stays in the room. You agree not to publicly attribute personal health information shared by other participants.
5. Surveys and User Submissions
When you complete a survey, submit a question, or otherwise provide content to us ("Submissions"), you grant Sofrena a non-exclusive, royalty-free, worldwide license to use the Submission to operate and improve the Services, including in de-identified or aggregated form. We handle personal and health-related information in Submissions as described in our Privacy Policy and our Consumer Health Data Privacy Policy. Do not include other people's personal information in your Submissions.
6. Intellectual Property
The Services and all content we create — text, graphics, logos, the Sofrena name and marks, page designs, event materials, and curricula — are owned by Sofrena or its licensors and are protected by copyright, trademark, and other laws. You may view and share links to our content for personal, non-commercial purposes. You may not copy, republish, scrape, sell, or create derivative works from our content without our prior written permission. Expert speakers retain ownership of their own materials except as agreed with Sofrena.
7. Acceptable Use
You agree not to: (a) use the Services for any unlawful purpose; (b) attempt to gain unauthorized access to the Services or related systems; (c) introduce malware or interfere with the Services' operation; (d) scrape or harvest data, including email addresses of other users; (e) impersonate any person or misrepresent your affiliation; or (f) use the Services to provide, advertise, or solicit medical services or products without our written authorization.
8. Third-Party Links and Services
The Services may link to third-party websites, providers, or resources, including clinicians and experts who appear at our programs. We do not control and are not responsible for third-party content, services, or care. A clinician's appearance at a Sofrena program is not an endorsement, credentialing, or guarantee of their services, and any care relationship you form with a provider is solely between you and that provider.
9. Disclaimer of Warranties
THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE." TO THE FULLEST EXTENT PERMITTED BY LAW, SOFRENA DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ANY WARRANTY ARISING FROM COURSE OF DEALING OR USAGE. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR THAT CONTENT IS COMPLETE, CURRENT, OR ACCURATE FOR YOUR INDIVIDUAL SITUATION.
10. Limitation of Liability
TO THE FULLEST EXTENT PERMITTED BY LAW, SOFRENA AND ITS FOUNDERS, OFFICERS, EMPLOYEES, SPEAKERS, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, DATA, OR GOODWILL, ARISING FROM OR RELATED TO YOUR USE OF THE SERVICES. OUR TOTAL AGGREGATE LIABILITY FOR ANY CLAIM ARISING FROM THE SERVICES WILL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID TO SOFRENA IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM OR (B) ONE HUNDRED DOLLARS ($100). SOME JURISDICTIONS DO NOT ALLOW CERTAIN LIMITATIONS, SO SOME OF THE ABOVE MAY NOT APPLY TO YOU.
11. Indemnification
You agree to indemnify and hold harmless Sofrena and its founders, officers, employees, and agents from claims, damages, and expenses (including reasonable attorneys' fees) arising from your violation of these Terms or your misuse of the Services.
12. Governing Law and Disputes
These Terms are governed by the laws of the State of Nevada, without regard to conflict-of-law principles. Any dispute arising from these Terms or the Services will be brought exclusively in the state or federal courts located in Clark County, Nevada, and you consent to personal jurisdiction and venue there. Nothing in this section prevents either party from bringing an eligible claim in small claims court.
13. Changes to These Terms
We may update these Terms from time to time. The Effective Date above reflects the latest version. Material changes will be posted on the Services, and your continued use after changes take effect constitutes acceptance.
14. Miscellaneous
If any provision of these Terms is held unenforceable, the remainder will continue in effect. These Terms, together with our Privacy Policy and Consumer Health Data Privacy Policy, are the entire agreement between you and Sofrena regarding the Services. Our failure to enforce any provision is not a waiver.
